Credit for prior learning (CPL)

Credit for prior learning or CPL is our term for exemptions. High quality learning and assessment in other relevant qualifications is appropriately recognised by the award of CPL.

What you need to know in order to apply for the ACA exams.

The ACA qualification has 15 modules over three levels. They are designed to complement the practical experience you will be gaining in the workplace. They will also enable you to gain in-depth knowledge across a broad range of topics in accountancy, finance and business. Here are some useful resources while you study.

ICAEW has membership recognition agreements with accountancy bodies around the world. So if you’re planning to live and work in another country, you may be able to join the local institute without sitting further assessment, provided you maintain your ICAEW membership.

Membership recognition agreements are in place with CAANZ in Australia and New Zealand , HKICPA in Hong Kong , SAICA in South Africa .

Your ACA qualification is also recognised by EU member states. You should therefore be able to obtain accountancy or audit recognition in another member state by passing a qualifying aptitude test.

Rachel trained in the UK with a well respected mid-tier firm and qualified in 2000. After all the hard work to get her qualification Rachel decided that an international move would be a good next step in her career.

At the end of her two year contract, Rachel had some choices to make. She was offered the chance to stay on with the firm as a manager and was also offered roles within Big Four firms in Canada, Hong Kong and Australia. As she was really enjoying her work and her location Rachel decided to stay where she was. After only another two years she was promoted to senior manager within the financial services team – a promotion that came far faster than if she had stayed in London. 

In her fifth year on the island, a European fund management firm, one of her clients in Bermuda, offered her a position in Paris as an analyst. Her partners were very happy to support the move and she left them on good terms. Two years later, and based on the knowledge and experience gained in Bermuda, Rachel was offered the chance to be a fund manager within the insurance sector.

Rachel decided to return to the UK in 2008 and now runs the sales and marketing team for a Canadian financial services company.

1. Introduction

The Supreme Court of India has confirmed the validity of the Institute of Chartered Accountants of India’s (ICAI) regulation that restricts Chartered Accountants from undertaking more than the “specified number of Tax Audit Assignments” under section 44AB of the Income Tax Act, 1961 within a financial year, with the current cap set at 60 assignments.

It ruled that this limitation does not infringe upon the fundamental right to practice a profession as guaranteed by Article 19(1)(g) of the Constitution.

Emphasizing the ICAI’s role in upholding standards, the Court remarked,

“ICAI has received recognition as a premier accounting body for maintaining the highest standards and the true test lies in the enforcement of these standards.”

2. What types of Audits are conducted on an entity?

3. understand the limits on audit in detail, 3.1 clause 1 of part ii of the second schedule to the ca act, 1949.

A member of the institute shall be deemed to be guilty of professional misconduct if he contravenes any of the provisions of this act or the regulations made thereunder or the guidelines issued by the council.

3.2 Tax Audit: Chapter VI of Council General Guidelines, 2008

A practicing Chartered Accountant shall not accept, in a financial year, more than “60” tax audit assignments under Section 44AB of the Income Tax Act, 1961. In the case of a CA firm, 60 shall be the limit for every partner of the firm.

Let us understand this with an example. Suppose Mr Yash, Mr Vaibhav, and Mr Gautam are CAs in practice in a CA firm named GGG & Associates. The total number of tax audits that GGG & Associates can perform is 60*3 = 180, and the tax audit report accepted by the firm can be signed by any of the partners on behalf of the firm i.e., Mr Yash alone can sign all 180 tax audit reports.

If Mr Yash is also a partner in SSS & Associates, then the number of tax audit assignments taken for all firms together concerning Mr Yash should not exceed 60.

Audits conducted under Sections 44AD, 44ADA, and 44AE of the Income Tax Act, 1961 shall not be taken into account in order to count the tax audits conducted.

Audit of head office & branches of the same concern will be construed as only one assignment.

3.3 Statutory Audit: Chapter VIII of Council General Guidelines, 2008

Similar to the above tax audit limitation, a practicing CA shall not hold at any time an appointment of more than “30” audit assignments of Companies under Section 141 of the Companies Act, 2013. There is no restriction on the number of audit assignments of one person company (OPC) and dormant companies i.e., they are outside the preview of the limit of 30 assignments.

As per Section 141(3) of the Companies Act, 2013, the maximum limit of company audits is “20” excluding one person company, small company, dormant company having paid up capital less than 100 crores.

Now, there is a discrepancy between the limits set by the council guidelines and those established by the Companies Act. Which limit should the Chartered Accountants follow?

The answer is simple à Both

Let us understand this with an example,

If a CA performs audit of different types of companies, for example, small companies and public companies, he can perform an audit of maximum 20 public companies and can utilize the remaining limit of 10 (30 – 20) for small companies or for private companies with net worth less than 100 Crores.

4. What about violations before the order of the Supreme Court?

The Court determined that the clause would be deemed effective on 1 st  April 2024, and clarified that the disciplinary proceedings initiated against the petitioners are quashed based on the doctrine of legal uncertainty.

Additionally, the Court ruled that the ICAI is permitted to raise the number of audits that a Chartered Accountant can undertake.

5. What action can be taken against a member for non-compliance?

If the member does not perform tax and statutory audits within the above-prescribed limits as per the council guidelines, he/she is in violation of the Second Schedule and the matter will be placed before the Disciplinary Committee and if found guilty, it can:

  • Reprimand the member
  • Remove the name of the member permanently or for any duration from the Register of members
  • Impose a fine up to Rs. 5,00,000

Further, any member aggrieved by an order of the Disciplinary Committee can prefer an appeal within 90 days before the appellate authority.

In conclusion, the Supreme Court’s decision to uphold the ICAI’s regulation limiting the number of tax audit assignments to 60 per financial year reinforces the importance of maintaining professional standards within the accounting profession. By addressing the implementation date and clarifying disciplinary procedures, the Court has provided a clear framework for future compliance and this decision not only protects the integrity of the profession but also balances the rights of practitioners with the need for rigorous professional oversight.

Circular seeking applications from Chartered Accountants for engagements as Professionals in NFRA on contractual basis

National Financial Reporting Authority (NFRA) intends to engage eligible and interested persons as professionals purely on contractual basis, without any provision for regular employment under any circumstances. The number of likely positions to be filled up is nine (9). This number may be increase or decrease based on requirement of NFRA. The Details of eligibility and terms and conditions of engagement are as follows.

2. The applicant should possess the following:

i. He/she should be a qualified Chartered Accountant having passed the final examination of the Institute concerned.

ii. He/she should have minimum two years of experience post passing his/her final examination, as on the date of receipt of application. Candidates with greater experience would be given preference.

iii. He/she should have good communication skills, both written and oral.

iv. Experience in conducting/ participating in audits of large or listed companies is desirable,

3. The terms and conditions of the appointment will be as follows:

i. Selected candidates shall not practice as Chartered Accountants during the period of their engagement in NFRA and will be required to surrender certificate of practice before joining NFRA. At the time of joining the Authority, such candidates shall produce proof of having their Certificate of Practice, suspended or surrendered.

ii. Selected candidates would be engaged on full-time basis for an initial period of 1 (one) year and accordingly such candidates will not be allowed to take up any other assignment during the period of engagement with the Authority. On completion of the year, the performance of the professionals will be evaluated by the competent authority and their contracts may be extended for another year, usually upto a maximum period of three years from initial engagement.

iii. The place of posting will be at New Delhi and selected candidates will work under the guidance and supervision of officers of the Authority.

iv. The selected candidates would be assigned tasks, at the discretion of the NFRA, as per requirement from time to time, which may include but will not be limited to areas such as preparation of inspection and training manuals, conduct of audit quality reviews, review of company financial statements, inspection of complaints, financial reporting quality review, database for NFRA, Court Cases, etc.

v. For new engagements as professionals, remuneration will be fixed at Rs.45000/- (per month) for the first year, Rs.50000/- (per month) for the second year, and Rs.60000/- (per month) for the third year (if extension of engagement is given).

vi. During the period of assignment with the Authority, it is likely that selected candidates may come across certain information of important/secret nature. No information which would be available with or gathered by selected candidates during the period of their assignment with the Authority will be divulged to anyone in any manner. All the selected candidates will have to provide declaration of fidelity and secrecy certified as prescribed by NFRA.

vii. At the time of leaving / relieving from NFRA, selected candidates would return back all materials and files / data / emails, passwords and any other information in any manner paper or soft copy, etc. in their possession and such candidates would be required to sign an undertaking in the prescribed format that they will not divulge any information that they have come across while working in NFRA to anyone in any manner whatsoever, at any time even after leaving NFRA.

viii. No TA/ DA will be given to the candidates for attending the interviews, if held, or towards expenditure incurred to join the Authority

ix. Selected candidate will be entitled to eight (08) days’ leave in a year i.e., the normal period of contract, on pro-rata basis. Any leave can be availed only with prior written permission of the competent authority. No remuneration will be admissible for absence beyond 8 days in a year, i.e., during the period of contract. However, absence upto one month may be considered without remuneration. In exceptional cases, for professional development, training, etc. this condition may be relaxed by the Competent Authority. Further, un-availed leave during the contract year shall not be carried forward, even in the event that contract period of the selected candidate is extended beyond a year.

x. The assignment is purely on contract basis and will not confer any right for permanent absorption or appointment on regular basis in the Authority or Ministry of Corporate Affairs.

xi. The engagement of the selected candidate may be terminated by NFRA by giving a 30 days’ notice in case of the following eventualities-

a. The selected candidate is unable to address the assigned works.

b. Quality of work performed is not to satisfaction of NFRA.

c. The selected candidate fails in timely achievements of the worked plan.

d. The selected candidate is found lacking in honesty and integrity.

xii. The selected candidate may also terminate the engagement by serving a notice period of 30 days or one month remuneration in lieu thereof.

xiii. The engagement will subject to MCA letter No. NFRA-05/1/2021-Comp-MCA dated 14.9.21 (copy attached) and any other terms and conditions of MCA/NFRA.

4. Interested and eligible persons may apply in the format enclosed as Annexure at the earliest. The last date for receipt of applications will be 30 days from the date of publication of the same in Newspapers. Based on requirement of NFRA, eligible applicants may be called for interview from time to time.

5. All application should be addressed to the Assistant Manager (Establishment) and sent by post/courier, etc. in an envelope superscribing “APPLICATION FOR PROFESSIONAL IN NFRA”, to the following address :

6. Applications should also be sent by email [on the email-id : [email protected]].

7. All applications should invariably contain the following (in the specified order) :

i. Application format duly filled in;

ii. Index of the documents;

iii. Copy of supporting documents as required vide this Circular;

iv. Each page of application including supporting documents duly signed and numbered;

v. For copy of application sent via email, the entire application as in paras 7(i) to 7(iv) above should be scanned and saved as a single pdf and sent to email id as stated in para 2 above. The subject of the email should be “Application for the post of Professional in NFRA from (name of the applicant)”.

8. Applicants/interested persons are advised to see NFRA website regularly as in case of any changes in this circular, the said changes will be displayed on NFRA website.

2. Contractual terms and conditions:

(a) The applicant should possess the following Qualifications:

(i) He/she should be a qualified Chartered Accountant! Cost Accountant/ Company Secretary having passed the final examination of the Institutes concerned.

(ii) He/she should have minimum two years of experience post passing their final examination; candidates with greater experience would be given preference.

(iii) He/she should have good communication skills, both written and oral;

(iv) Experience in conducting/ participating in audits of large or listed companies is desirable.

(b) The terms and conditions of the appointment will be:-

(i) Selected candidates shall n 1′ practice as Chartered Accountant/ Cost Accountant or Company Secretaries during the period of their engagement in NFRA.

(ii) He/she would be engaged for a period of initial 1 year. On Completion of each year, the performance of the professionals will be evaluated by the Committee, constituted on the lines of Consultancy Evaluation Committee (CEC) under the Scheme of Engagement of Consultant/Sr. Consultant in NFRA and their contract may be extended for another year on the basis of recommendations of Committee. Extension beyond 3 years will be considered in exceptional cases, based on the recommendations of the Committee.

(iii) The selected candidate would be assigned tasks, at discretion of the NFRA, in areas such as preparation of inspection and training manuals, conduct of audit quality reviews, review of company financial statements etc.

(iv) For the new appointments as professionals, their remuneration will be fixed at Rs. 45000 for the first year, 50000 for second year and 60000 for the third year. However, for the incumbents who have already completed one year as Professional in NFRA and are being paid Rs. 41000!- pm, their remuneration may be fixed at 50,000 for the second year and 60,000 for the third year. Enhancement will be done from prospective basis.

(v) All the selected candidates twill have to provide declaration of fidelity and secrecy certified as prescribed by NFRA.

(vi) No TA/DA will be given to the candidates for attending the interviews, if held.

(vii) The service of the selected candidate may be terminated by NFRA by giving a 30 days’ notice in case of the following eventualities:

d. The selected candidate is found lacking in honesty, and integrity.

(viii) The selected candidate may also terminate the engagement ;by serving a notice period of 30 days or one month remuneration in lieu thereof.

3. This issues with the approval of Competent Authority and concurrence of AS&FA vide his note#53 and #66 dated 01.09.2021 and 09.09.2021, respectively.

Each one of us, be it a corporate or a natural person deal with the Chartered Accountant (CA) for their opinion on one or more of financial transaction entered upon. We do engaged them or avail their service for matters related to Income Tax Return filing, Financial Planning andAdvisory, GST Registration and GST Return, Tax Audit and other audit work. However, many a time a fear revolves in mind of unintended disclosure of confidential data or information shared with him. Disclosure of confidential information is only one set of example of fear, there might be other scenario also like delivery time, IPR right, Ownership, liability etc. To evade the fear of confidentiality, ownership, on time delivery etc. and to protect our interest,  it becomes essential to execute proper document/ agreement with the Chartered Accountant while undertaking his services. So, in this article we have tried to curtail out the above difficulties and list out the major clauses to be inserted to protect the interest of the recipient of the service or Service Recipient (Client)  as well as the Service Provider (CA).

  • Date and place of execution : Agreement must specify the date and place of execution. Date is utmost important to check the validity under the Limitation Act. Any legal action can be initiated only if the legal action undertaken against the act is not time barred. Further, if place is mentioned, it becomes easy to identify place where stamp duty in case of registration is to be paid.
  • Details of the Parties : The details of the parties i.e. their name, Father’s Name, Address, Age and in case of non individual’s(Company, LLP, Partnership Firm) details of the entity and the mode of authorisation should be stated for easy identification.
  • Scope of work: It is utmost vital to decide the scope of work at early stage of the transaction, so that service under the agreement can be performed and completed within the agreed time period. Further how the changes under the scope of work and would be the charges for the same shall also be mentioned in the agreement itself in order to remove the ambiguity in the mind of both the parties at later stage.
  • Commercials: Charges for the professional service must also be specified in black and white. Further whether such charges shall be inclusive of taxes or not also needs to be specified.
  • Duration of the Deed : The deed should specify the duration or the term for which the agreement is entered upon by the Parties. On the expiry of the term, the agreement stands terminated or if agreed upon by the parties may be renewed.
  • Duties of the CA : There must be some certain duties on the part of the CA which needs to be fulfilled by him and be stated specifically. The Service Provider shall provide the services with due care and diligence and to such standard of quality as expected by the Company.
  • – The Service Provider shall put the best team, keeping in mind the requirement of the assignment in order to complete the same on time.
  • – The Service Provider shall be responsible for the timely delivery of the Services and deliverables;
  • – The Service Provider should ensure that he will not disclose the nature or results of any of the Service Provider’s work with the Company to any third party.
  • – The Service Provider shall abide by all the laws, rules and regulations while discharging the duties with regard to aforesaid Scope of Work.
  • Duties of the Service Receiver : There must be some certain duties on the part of the Service Receiver which needs to be fulfilled by him and be stated specifically. For eg:
  • – To provide time to time support and documents to the CA to complete the work within agreed time period;
  • – Timely payment of charges of CA
  • Intellectual Property Right : In case any IPR is being created out the work assigned to the chartered accountant, then who will become the owner of such IPR, this has to be stated clearly under the agreement.
  • Confidentiality : This is very crucial point of the agreement and to be drafted in details as all the information, document shared under the agreement to the Chartered Accountant shall be considered confidential and no disclosure shall be made by him without prior approval of the Client.
  • Ownership of the Document : Details needs to be mentioned like who will be the owner of information’s/ documents produced or developed out of the work assigned to the Chartered Accountant by the Client.
  • Additional Miscellaneous clauses:
  • a. Relationship : relationship between the client and chartered accountant shall be of principal to principal. It means neither party shall be liable for the wrongful act of other party nor there shall not be any agent to principal relation.
  • b.Termination : Terms for how the agreement would be treated as terminated and what would be the timeline for termination of agreement.
  • c. Assignment : Whether the work given to the chartered accountant can be assigned/ transferred by him to any third party or not, this has to be specifically specified.
  • d. Service of Documents : The address of the parties where all official communication to be served should be mentioned in the agreement. In case of any communication, the documents could be couriered/ posted at the address provided above.
  • e. Copies of Agreement : To ensure originality and to avoid temperament with the deed, one can state the number of original copies signed by the parties.
  • f. Damages and indemnity : In case any damage is incurred by one of the Party due to the fault of the other, then the other party shall indemnify the party who have suffered loss.
  • g. Jurisdiction : In case any dispute arises, the area of jurisdiction where any legal petition can be filed should also be mentioned in the agreement.
  • h. Arbitration Clause : If the Parties mutually agree to resolve any dispute out of the Court, then this clause will help them to resolve the matter through arbitration.

Conclusion : Above are the few major clauses which needs to be catered in the agreement while entering into any transaction with Chartered Accountant. Other suitable clauses can also be added subject to mutual discussion between both the parties and depending upon the nature of transactions.
