N2 - The three essays collected in this PhD thesis are on topics of corporate finance and environmental, social, and governance (ESG). The first essay examines the effect of state ownership on the relationship between ESG and stock performance. Taking the COVID-19 market crash as an exogenous shock, this study suggests that the benefit of ESG activities on stock returns is driven by non-state-owned enterprises. The second essay investigates the intra-industry effects of environmental and social (ES) scandals in China. It demonstrates that, although rivals experience a significant decline in stock prices during scandal announcements, rivals’ strong ES performance can mitigate the negative influence through channels of risk. The third essay studies how carbon risk affects corporate cash holding policies and documents a significant increase in high-carbon emitters’ cash holdings when carbon risk increases in China.

Writing a master thesis in corporate finance.

Students who would like to write a Master thesis in the area of Corporate Finance must have completed the Financial Economics concentration, and attend either the Hauptseminar Corporate Finance or Financial Economics. In addition it is recommended that students take Advanced Corporate Finance, the Case Seminar Corporate Finance, and Private Equity. The purpose of the Hauptseminar is to introduce students to scientific writing, and the requirements for writing a Master thesis in Corporate Finance.

To complete the Master program in four semesters we recommend the following semester plan.

All thesis topics will be in the area of corporate finance, and most theses will be of an empirical nature. Therefore, good econometric skills are essential. The course Econometric Methods, offered by Prof. Hautsch in the WS, is highly recommended. Familiarity with statistical software, such as Stata or SAS, is also important. Since the most relevant literature is in English, it is recommended to write the Diplom or Master thesis also in English, but this is not a necessity.

If you are interested in writing a Master thesis in the area of Corporate Finance contact Prof. Adam or one of his assistants to discuss a suitable thesis topic and expected completion time. Currently we offer theses topics in the following areas:

  • Financial Regulation

You should budget at least six months for completing your thesis. It is also possible and encouraged to write a thesis jointly with another fellow student. This is not only more fun than writing by yourself but you can also benefit from economies of scale.

After obtaining a topic the next step is to write and orally defend a research proposal. During the defense you should explain why your topic is important, what new insights could potentially be gained from your thesis, and discuss your research methodology. It is important to demonstrate the feasibility of your project. After a successful defense you can submit the form „Anmeldung zur Masterarbeit“ to the institute’s secretary, Mrs. Bulwahn, and begin writing your thesis. Interim results should be presented at least once.

Master theses must be submitted in bound format (2 copies) by the due date to the Prüfungsamt. Each Master thesis must include a DVD containing the thesis, all data used, computer programs, and all references. Further information about how to write a thesis can be found here .

Regeln der Prüfungsordnung für Abschlussarbeiten:

  • Eine Abschlussarbeit muss im Prüfungsbüro angemeldet werden. Das vorgesehene Formular wird im Prüfungs- bzw. Studienbüro ausgegeben. Dabei werden auch die Zulassungsvoraussetzungen zur Abschlussarbeit geprüft.
  • Die festgelegte Zeitbefristung beginnt mit dem Tag nach der Themenvergabe. Sie gilt ausnahmslos für alle Studierende. Ausnahmen kann ausschließlich der Prüfungsausschuss genehmigen. Dafür müssen triftige Gründe nachgewiesen werden.
  • Der Prüfer muss das Thema und den Zeitpunkt der Ausgabe mittels des Anmeldeformulars aktenkundig machen. Nach der Themenvergabe muss es unverzüglich an das Prüfungsbüro weitergeleitet werden. Die Studierenden erhalten nach Eingang der Anmeldung vom Studien- bzw. Prüfungsbüro eine Kopie der Anmeldung.
  • Die Einhaltung oder Überschreitung der Abgabefrist wird durch die direkte Einreichung der Arbeit beim Prüfungsbüro festgestellt und aktenkundig gemacht.

Rules from the examination order concerning the graduation theses:

  • A thesis needs to be registered at the examination office. The corresponding form is available at the examination office or the study office. The preliminaries for a thesis will also be examined there.
  • The administered deadline starts the day after the announcement of the thesis topic. It applies to all students without exceptions. Any exceptions can only be granted by the examination board. An exception requires grave reasons and proof.
  • The examiner needs to register the topic and the deadline via the application form. After announcement of the topic it needs to be transferred to the examination office without delay. The students will receive a copy of the application form after the entry at the examination office or the study office.
  • The compliance with or exceedance of the deadline will be determined through direct deliverance of the thesis at the examination office and registered officially.

Applications of Corporate and Theoretical Finance to Questions in Macroeconomics

The dissertation consists of two chapters. The unifying theme of the dissertation is the application of corporate and theoretical finance to questions in macroeconomics. The first chapter studies the endogenous formation of business relationships and the ability of business partners to support unsecured trade credit, short-term loans between business partners. It shows how trade credit is self-enforcing through the threat of punishment. If firms do not repay, they lose access to future inputs unless they find a new supplier. The paper studies how fluctuations in these arrangements as a result of the Covid-19 pandemic caused a decline in business-to-business sales and total output for some of the largest firms in the United States. This paper was authored solely by the dissertation applicant. The second chapter studies the spillovers arising from collateral-based financial innovation. Financial innovation is the introduction of new technologies and new products into the financial system, broadening the scope of the market or deepening the scale of what contracts can be traded. Collateral-based financial innovations are now in the popular lexicon, for mortgage-backed securities, collateralized debt obligations, and other asset-backed securities have had a large influence on the U.S. economy in the last forty years. The paper presents a new theory of how financial innovations on one financial asset can have positive or negative price spillovers to unaffected financial assets. Specifically, leverage creates positive spillovers, and tranching and credit-default swaps create negative spillovers. This paper was co-authored with the applicant’s advisor Ana Fostel and another graduate student. Together, the dissertation opens new lines of inquiry into how financial promises (secured and unsecured) influence the macroeconomic allocation of production and consumption.

The Opioid Crisis, CEO Pay, and Shareholder Activism

In 2020, AmerisourceBergen Corporation, a Fortune 50 company in the drug distribution industry, agreed to settle thousands of lawsuits filed nationwide against the company for its opioid distribution practices, which critics alleged had contributed to the opioid crisis in the US. The $6.6 billion global settlement caused a net loss larger than the cumulative net income earned during the tenure of the company’s CEO, which began in 2011. In addition, AmerisourceBergen’s legal and financial troubles were accompanied by shareholder demands aimed at driving corporate governance changes in companies in the opioid supply chain. Determined to hold the company’s leadership accountable, the shareholders launched a campaign in early 2021 to reject the pay packages of executives. Should the board reduce the executives’ pay, as of means of improving accountability? Or does punishing the AmerisourceBergen executives for paying the settlement ignore the larger issue of a business’s responsibility to society? National Enquirer’s Help for Trump Broke Norms Even in the Tabloid World

The tabloid’s parent company was fined for breaking federal election laws after spending money to buy and bury stories that could have harmed Donald J. Trump’s campaign.

The National Enquirer was more than a friendly media outlet for Donald J. Trump’s presidential campaign in 2016. It was a powerful, national political weapon that was thrust into the service of a single candidate, in violation of campaign finance law.

The tabloid’s former publisher, David Pecker, testified nonchalantly on Tuesday about how the tabloid operated in tandem with the Trump campaign, “catching and killing” potentially damaging stories and running elaborate and false hit pieces on Mr. Trump’s opponents. But its practices were unusual even in the wild supermarket tabloid news game.

By the admission of The Enquirer’s own publisher — first made to federal prosecutors years ago during the prosecution of Mr. Trump’s fixer, Michael Cohen — the tabloid was operating with the full intention of helping Mr. Trump’s campaign.

Under the First Amendment, newspapers are permitted to support candidates. But The Enquirer’s support went beyond journalism: The publication paid $150,000 for a story a Playboy model, Karen McDougal, was preparing to tell about an affair she said she had with the candidate. Then, it published nothing.

That sort of deal is not unusual in the tabloid news trade, even if it violates journalistic standards followed by mainstream American outlets like this one, which have rules against paying sources.

But before 2016, there had never been a known catch-and-kill deal to aid a presidential campaign. In that context, The Enquirer’s payment violated federal campaign laws prohibiting corporations from donating to presidential candidates — who are limited to receiving direct donations of $4,400 per person — and forbidding them to coordinate election-related spending with campaigns.

As The Enquirer’s parent company at the time, American Media, admitted in a “non-prosecution” deal with the federal government in 2018: “AMI knew that corporations such as AMI are subject to federal campaign finance laws, and that expenditures by corporations, made for purposes of influencing an election and in coordination with or at the request of a candidate or campaign, are unlawful.”

The deal helped secure Tuesday’s testimony.

(The Federal Election Commission later hit The Enquirer’s parent company with fines of $187,000; Mr. Trump’s campaign escaped sanction .)

The Enquirer was also providing a hidden value to Mr. Trump: By giving over its cover to his political needs, Mr. Pecker gave him the equivalent of free advertising space at most major supermarket checkout lines in the country, where the tabloid had long ago secured prime placement.

One expert said at the time that such exposure could be worth as much as $3 million a month.

Worth potentially even more: The Enquirer’s agreement to keep from the checkout line not only Ms. McDougal’s story but the cache of Trump dirt it had in its own files — “tabloid gold” that would never see the light of day.
